InTopic AI provides AI-powered business directory and submission services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.
3.1 Account Creation: You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Subscription Terms: By subscribing to our paid services, you authorize InTopic AI to charge your payment method for recurring payments according to your selected plan. Subscriptions automatically renew unless canceled.
3.3 Cancellation: You may cancel your subscription at any time through Profile → Orders. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial months.
3.4 Price Changes: InTopic AI reserves the right to modify subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance.
4.1 Billing: All fees are in USD and charged in advance on a recurring basis. You authorize us to charge your payment method for all fees incurred.
4.2 Failed Payments: If payment fails, we may suspend or terminate your access to paid features. You remain responsible for all unpaid amounts.
4.3 No Refunds: All payments are non-refundable except as required by law or explicitly stated in these terms.
5.1 User Content: You retain ownership of content you submit but grant InTopic AI a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with our services.
5.2 InTopic AI Property: All InTopic AI trademarks, logos, and service marks are the property of InTopic AI. Our platform, technology, and content are protected by copyright, trademark, and other intellectual property laws.
5.3 Prohibited Content: You may not submit content that is illegal, fraudulent, defamatory, obscene, or infringes on third-party rights.
6.1 Disclaimer: InTopic AI services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
6.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTOPIC AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
6.3 Maximum Liability: InTopic AI's total liability to you for all claims arising from or related to these terms or our services shall not exceed the amount you paid to InTopic AI in the twelve (12) months preceding the claim.
7.1 Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
7.2 Arbitration Location: Arbitration shall take place in the jurisdiction where InTopic AI's principal office is located, unless otherwise agreed by both parties.
7.3 Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND INTOPIC AI INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
7.4 Costs: Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise based on applicable law.
7.5 Exceptions: Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights.
You agree to indemnify, defend, and hold harmless InTopic AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any third-party rights.
InTopic AI may terminate or suspend your account and access to services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the services will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InTopic AI is incorporated, without regard to its conflict of law provisions.
InTopic AI reserves the right to modify these Terms at any time. We will notify users of material changes via email or through our platform. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
